Terms of Service

This document describes how Quira Ledger is built to work, but it hasn't yet been reviewed by our legal advisers. If anything here matters to a decision you're making, please ask us rather than relying on it.
These terms govern your use of Quira Ledger, operated by Quira Resource Tech [TO CONFIRM — registered name and RC number]. By creating an account you agree to them.
Your account
One organisation has one account. The person who signs up becomes the owner and is responsible for the subscription, for who else is invited, and for what those people do with the access they're given.
Keep your credentials to yourself. Tell us promptly if you think someone else has got into your account.
Trial
Every plan includes a free trial of the length shown when you sign up. No payment is taken during it and no card is required to start. When the trial ends we raise your first invoice and email it to the account owner.
Fees and payment
Your plan and billing cycle are shown in your account. You're billed in naira if your organisation is registered in Nigeria, and in US dollars otherwise; this follows your country and isn't something you select.
- Invoices are issued at the start of each billing period
- Payment is taken through Paystack or Flutterwave; we never handle your card details
- Prices exclude VAT unless stated; VAT is applied where it's due
- Fees already paid are non-refundable except where the law requires otherwise [TO CONFIRM — whether you want a discretionary refund window]
If an invoice goes unpaid
Your access doesn't stop the moment an invoice falls due. A grace period runs on from your renewal date, during which everything keeps working and we'll remind you. If the invoice is still unpaid when the grace period ends, access is suspended.
Suspension is not deletion. Your data stays intact, the owner can still reach the billing pages, and paying what's outstanding restores access immediately.
Changing plan
You can move to a higher plan yourself at any time. Outside a trial, we raise an invoice for the difference prorated across the remainder of your current period; the plan changes once that invoice is paid, and your renewal date doesn't move. During a trial the switch is immediate and free.
Moving to a lower plan, or changing your billing cycle, is handled by our team — contact us and we'll arrange it.
Your data
The records you create in Quira Ledger belong to you. We hold them to provide the service and we don't claim any ownership of them. You can export them while your account is active, and for [TO CONFIRM — period] after it closes.
You're responsible for having the right to hold the data you put in — particularly records about your employees and customers — and for meeting your own obligations to them.
Acceptable use
You agree not to:
- Use the service for anything unlawful, or to record transactions you know to be fraudulent
- Attempt to access another organisation's data
- Probe, scan or test the security of the service without our written permission
- Resell or sublicense access without an agreement with us
- Place load on the service that degrades it for others
We may suspend an account that breaches this, and will tell you why.
Availability
We work to keep the service running and available, but we don't promise it will never be interrupted. Planned maintenance will be notified in advance where we can. [TO CONFIRM — whether you want to commit to an uptime figure. Don't, unless you can measure and honour it.]
Not professional advice
Quira Ledger helps you keep records and produce figures, including tax calculations. It is not an accountant and it is not a tax adviser. You remain responsible for your filings, and for checking that what the system produces is right for your circumstances.
Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that can't lawfully be limited.
Subject to that, our total liability to you in any twelve-month period is limited to the fees you paid us in that period, and we are not liable for loss of profit, loss of business, or indirect or consequential loss. [TO CONFIRM — your lawyer should set this figure and check it's enforceable.]
Ending the agreement
You can close your account at any time; it takes effect at the end of your current billing period, and fees already paid aren't refunded. We may end the agreement if you materially breach these terms and don't put it right within [TO CONFIRM — e.g. 14 days] of being asked, or if your account remains suspended for non-payment for [TO CONFIRM — period].
Before we delete anything after an account closes, you'll have [TO CONFIRM — period] to export your records.
Changes to these terms
We may update these terms. If a change materially affects you we'll email the account owner at least [TO CONFIRM — notice period] before it takes effect. Continuing to use the service after that counts as accepting them.
Governing law
These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of [TO CONFIRM — state] have exclusive jurisdiction.
